1. Acceptance of Terms

By accessing or using adtrench.com or by engaging AdTrench for any services, you agree to be bound by these Terms and Conditions in full.

2. About AdTrench

AdTrench is a Shopify-focused performance marketing agency providing store development, Google Ads, Meta Ads, and SEO services exclusively for Shopify stores. All pricing is quoted and billed in United States Dollars (USD) unless otherwise agreed in writing.

3. Services

AdTrench offers the following services exclusively for Shopify stores:

• Shopify Store Development — custom theme design and development
• Shopify Google Ads Management — Shopping, Search, Performance Max, Display, and Remarketing
• Shopify Meta Ads Management — Facebook, Instagram, and Audience Network
• Shopify SEO — technical, on-page, schema, and content optimisation
• Shop Campaigns — pay-per-sale advertising via the Shopify Shop channel

The specific scope, deliverables, timelines, and fees will be outlined in a separate Service Agreement. No work commences until a written agreement has been signed.

Free Strategy Calls

AdTrench offers free 30-minute strategy calls at no charge and with no obligation. Information shared during these calls is treated confidentially.

4. Eligibility

To engage AdTrench for services, you must:

• Be at least 18 years of age
• Have the legal authority to enter into contracts on behalf of yourself or your business
• Operate a legitimate Shopify store or be in the process of launching one
• Provide accurate and complete information when requested

5. Payments & Fees

Fees

All fees are outlined in the relevant Service Agreement and quoted in USD.

Payment terms

• Retainer services: payment due at the start of each billing period
• Project-based work: deposit required before work commences, balance due on completion
• Invoices are due within 7 days of issue
• Late payments may incur a fee of 1.5% per month on outstanding balances

Ad spend

Ad spend for Google Ads, Meta Ads, and Shop Campaigns is entirely separate from AdTrench management fees. The Client is responsible for funding their own ad accounts directly.

6. Refund Policy

Due to the nature of digital marketing and development services, fees are generally non-refundable once work has commenced. Please see our full Refund Policy for complete details.

7. Client Responsibilities

The Client agrees to:

• Provide timely access to required accounts (Shopify, Google Ads, Meta Business Manager, etc.)
• Respond to requests for information or approvals within a reasonable timeframe
• Ensure all content and materials provided are owned or properly licensed
• Maintain sufficient ad spend budgets as agreed
• Comply with the terms of service of all relevant platforms

8. Intellectual Property

Client’s IP

All content, trademarks, and materials provided by the Client remain their property.

AdTrench’s IP

All strategies, frameworks, tools, and methodologies developed by AdTrench remain our intellectual property unless explicitly transferred in writing.

Deliverables

Upon full payment, AdTrench grants the Client full ownership of custom deliverables created specifically for them. Ownership does not transfer until payment is complete.

Portfolio use

AdTrench reserves the right to reference results in case studies and marketing materials, unless the Client requests otherwise in writing.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination for two (2) years.

10. Disclaimers

AdTrench provides services on an “as is” basis. We make no guarantees regarding specific advertising performance metrics, search engine rankings, or revenue outcomes. See our full Disclaimer for details.

11. Limitation of Liability

To the maximum extent permitted by law, AdTrench’s total liability shall not exceed the total fees paid by the Client in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

12. Termination

By the Client

The Client may terminate ongoing services with 30 days’ written notice. Fees already paid for the current billing period are non-refundable.

By AdTrench

AdTrench may terminate immediately in the event of non-payment, breach of agreement, or abusive behaviour toward staff.

13. Governing Law

These Terms are governed by applicable law. Disputes will be resolved through good-faith negotiation first, then mediation or arbitration before any legal proceedings.

14. Changes to These Terms

AdTrench may update these Terms at any time. We will update the “Last Updated” date and notify active clients of material changes via email.
